Aydost Enerji Üretim Anonim Şirketi hisselerinin devir alınmasına ilişkin yapılan özel durum açıklamasında, santrallerin toplam elektrik kurulu gücünün birimi ve tarih sehven yanlış yazılmıştır. Düzeltilmiş açıklama aşağıdaki gibidir;

  

Şirketimizin uzun vadede gerçekleştirmeyi planladığı ve toplamda 1 GW kurulu güce sahip yenilenebilir enerji santrali yatırımı hedefi doğrultusunda, ana faaliyet konusu güneş enerjisinden elektrik üretimi ve satışı olan Aydost Enerji Üretimi Anonim Şirket'inin hisselerinin, tek hâkim ortağı Levent Büküm'den devralınması için 10.02.2025 (bugün) tarihinde 13.225.000 USD (onüçmilyonikiyüzyirmibeşbin Amerikan Doları) bedelinde ödeme günündeki Türk Lirası karşılığı olmak üzere anlaşmaya varılmış ve pay devir sözleşmesi 10.02.2025 (bugün) tarihinde imzalanmıştır.

  

Güneş enerji santralleri Antalya ilinde bulunan şirketin bünyesinde 11 adet güneş enerji santrali yer almakta olup, bu santrallerin toplam kurulu gücü 13.127,40 kWp'tir. (13,127 MWp)

  

4054 sayılı Rekabetin Korunması Hakkında Kanun gereğince, anlaşmaya konu şirketin devralınmasının gerçekleşebilmesi Rekabet Kurumu onayına tabidir. Rekabet Kurumu onayına en kısa sürede başvurulacak ve pay devirleri Rekabet Kurumu'nun onayını müteakip gerçekleştirilecektir. Rekabet Kurumu'nun onay vermemesi durumunda pay devir sözleşmesi iptal edilecektir. Rekabet Kurulu'ndan onay alınmasının ardından devralma işlemi tamamlanacaktır. Konuyla ilgili önemli gelişmeler olması durumunda kamuoyuyla paylaşılacaktır.

In the material event disclosure regarding the acquisition of shares in Aydost Enerji Üretim Anonim Şirketi, the unit of total installed electricity capacity and the date were inadvertently misstated. The revised disclosure is as follows:

  

In line with our company's long-term goal of investing in renewable energy power plants with a total installed capacity of 1 GW, an agreement was reached on 10.02.2025 (today) for the acquisition of shares in Aydost Enerji Üretimi Anonim Şirketi, whose primary business activity is the generation and sale of electricity from solar energy. The share transfer agreement was signed on 10.02.2025 (today) for a total consideration of 13,225,000 USD (thirteen million two hundred twenty-five thousand United States Dollars), payable in its Turkish Lira equivalent on the payment date, with the shares being acquired from the sole controlling shareholder, Levent Büküm.

  

The company, whose solar power plants are located in the Antalya province, owns 11 solar power plants with a total installed capacity of 13,127.40 kWp (13.127 MWp).

  

Pursuant to Law No. 4054 on the Protection of Competition, the completion of the acquisition is subject to the approval of the Competition Authority. An application for approval will be submitted to the Competition Authority as soon as possible, and the share transfers will be executed following the Authority's approval. In the event that the Competition Authority does not grant approval, the share transfer agreement will be annulled. The acquisition process will be finalized upon obtaining approval from the Competition Board. Any significant developments regarding this matter will be disclosed to the public.
