Sermaye Piyasası Kurulu'nun (SPK) Seri II-17.1 sayılı Tebliğ'in (Tebliğ) 10. maddesi kapsamında Şirketimiz ile ilişkili tarafları arasındaki yaygın ve süreklilik arz eden işlemlerin bir hesap dönemi içerisindeki tutarının, alış işlemlerinde kamuya açıklanan son yıllık finansal tablolara göre oluşan satışların maliyetine olan oranının, satış işlemlerinde kamuya açıklanan son yıllık finansal tablolara göre oluşan hasılat tutarına olan oranının %10'una veya daha fazlasına ulaşacağının öngörülmesi durumunda işlemlerin şartlarına ve piyasa koşulları ile karşılaştırılmasına ilişkin olarak bir rapor hazırlanması ve Kamuyu Aydınlatma Platformu'nda (KAP) raporun veya sonucunun açıklanması gerekmektedir.

Bu kapsamda 2025 hesap döneminde belirlenen oranları aşması beklenen işlemler için hazırlanan ekli İlişkili Taraf İşlemleri Raporunun kabul edilerek, KAP'ta ilan edilmek suretiyle ortaklarımızın bilgisine sunulmasına, 2025 hesap döneminde aynı nitelikteki işlemlerin bu Rapor'da belirlenen esaslara uygun olarak devam etmesine karar verilmiştir.

In accordance with the article 10 of the Communique Serial II-17.1 (Communique) of Capital Markets Board of Turkey (CMB), in case of foreseeing the ratio of the amount  of common and continuous transactions between our Company and its related parties within an accounting period to the amount of cost of sales according to latest annual financial statements disclosed to the public in purchasing transactions, to the amount of revenue according to latest financial statements disclosed to the public in sales  transactions are equal to 10% or over, a report shall be prepared about conditions of the transactions and comparison with the market conditions and report or the conclusions of that report to disclose on Public Disclosure Platform (KAP) is mandatory.

Within this scope, for the transactions expected to exceed the determined rates in the 2025 fiscal period, the attached Related Party Transactions Report prepared to include the transaction principles and important information has been approved and it has also been resolved to present this report to shareholders' knowledge through KAP. It has been resolved to continue related party transactions in line with the qualifications stated in this report in 2025 accounting year.
