oda_ExplanationTextBlock| | Sermaye Piyasası Kurulu'nun Kurumsal Yönetim Tebliği (II-17.1) 10uncu maddesi kapsamında Şirketimiz ile ilişkili tarafları arasındaki yaygın ve süreklilik arz eden işlemlerin bir hesap dönemi içerisindeki tutarının, alış işlemlerinde kamuya açıklanan son yıllık finansal tablolara göre oluşan satışların maliyetine olan oranının, satış işlemlerinde kamuya açıklanan son yıllık finansal tablolara göre oluşan hasılat tutarına olan oranının %10'una veya daha fazlasına ulaşacağının öngörülmesi durumunda, Yönetim Kurulu kararına ilaveten şirket Yönetim Kurulu tarafından işlemlerin şartlarına ve piyasa koşulları ile karşılaştırılmasına ilişkin olarak bir raporun hazırlanması ve bu raporun KAP'ta açıklanması gerekmektedir. Bu kapsamda Şirketimizin 2024 yılında gerçekleşen ve 2025 yılında da benzeri koşullarda gerçekleşmesi beklenen, yaygın ve süreklilik arz eden işlemleri için hazırlanan İlişkili Taraf İşlemleri Raporu 26 Şubat 2025 tarih, 2025/5 sayılı Yönetim Kurulu kararı ile kabul edilmiştir. İlgili İlişkili Taraf İşlemleri Raporu ekte yatırımcılarımızın bilgisine sunulmuştur. | Within the scope of the article 10 of the Corporate Governance Communiqué (II-17.1) of the Capital Market Board, In cases where it has been foreseen that the rate of the amount of common and continuous transactions between our Company with its related parties within an account period, compared to; for purchases, the cost of sales in the latest annual financial statements disclosed to public; for sales, the revenues in the latest annual financial statements disclosed to public, exceed 10%, in addition to the resolution of the board of directors, a report regarding the conditions of the transactions and comparison thereof with the market conditions must be issued and the entire report or its result only shall be disclosed at the PDP. Within the scope of the stipulation, the resolution of the board of directors of 23.02.2022, number 2022/6 concerning ‘The Report on Transactions with the Related Parties' drafted for common and continuous transactions realized in 2021 and expected to continue to be realized under similar conditions in 2022 too has been adopted.
