Şirket Yönetim Kurulu'nun 4 Şubat 2025 tarihli kararı kapsamında;

-Şirket Esas Sözleşmesi'nin Amaç ve Faaliyet Konusu başlıklı 3.maddesinin, Esas Sözleşme Değişikliği başlıklı 7.maddesinin, II. Bölüm başlığının ve Sermaye başlıklı 8.maddesinin, Yönetim Kurulu Toplantıları başlıklı 13.maddesinin ekteki şekliyle tadili ve

-Esas Sözleşme'ye ekteki tadil tasarısında gösterilen Birleşme ve Bölünme başlıklı 39.madde ile Pay veya Pay Senetlerinin Devri başlıklı 40.maddenin eklenmesi ile ilgili olarak Sermaye Piyasası Kuruluna yaptığmız başvuru onaylanmıştır.

Sermaye Piyasası Kurulu onaylı tadil tasarısı ekte yer almaktadır.

In accordance with the decision of the Board of Directors of our Company dated 4 February 2025, our application has been approved by Capital Markets Board;

-to amend Article 3, titled Purpose and Field of Activities; Article 7, titled Amendments to the Articles of Association; the title of Part II and Article 8, titled Capital; and Article 13, titled Meetings of the Board of Directors of the Company's Articles of Association as set forth in the attached amendment draft.

-to add Article 39, titled Merger and Demerger and Article 40, titled Transfer of Shares or Share Certificates to the Articles of Association as set forth in the attached amendment draft.

The amendment draft approved by the Capital Markets Board is attached.
